Job description

Position Overview

The Senior Legal Counsel, Investments and Specialized Financing, will play a critical role in supporting BDC’s Assistant Vice-President, Legal Affairs, as part of a specialized legal team. This team provides transactional and investment legal services to support BDC and BDC Capital’s venture capital, growth equity, and subordinated and structured financing activities.

The ideal candidate will have extensive experience in venture and growth capital direct equity investments, with additional experience in private equity fund investments being a strong asset. They must also demonstrate a business-oriented approach, effective negotiation skills, and a collaborative mindset.

Key Responsibilities

  • Provide timely and practical legal advice to internal partner teams on investment transactions and internal projects.
  • Negotiate agreements related to complex transactions or strategic partnerships with internal clients.
  • Coordinate and oversee external legal counsel retained by BDC for various activities.
  • Conduct legal research on issues relevant to BDC’s operations.
  • Coach, train, and provide guidance to internal clients.

Required experience and qualifications

Qualifications

  • University degree in law.
  • A minimum of 5 years of relevant experience in transactional law, particularly in venture capital, growth equity, or private equity. Experience representing institutional investors is an asset.
  • Membership in the Quebec Bar, Law Society of Ontario, or equivalent certification from another Canadian province.
  • Strong skills in analysis, organization, and negotiation.
  • Highly collaborative with strong interpersonal skills.
  • Ability to synthesize complex and ambiguous information to deliver actionable, business-oriented legal advice.
  • Demonstrated ability to quickly establish credibility with business partners.
  • Proactive, with excellent judgment and creative problem-solving skills.
  • Bilingualism (English and French) is an asset.
